Operating model

A clear progression from understanding the structure to reporting to headquarters.

We work in phases that build upon one another, with documented accountability at each stage.

  1. Understanding the Structure
We map out shareholders, entities, current representatives, banks, contracts, and existing service providers—and the obligations they entail.
  2. Defining the Representation Model
We agree on the role and scope of the attorney-in-fact, the resident manager, and the signatory authority, in alignment with the foreign parent company.
  3. Implementing the local structure
We execute powers of attorney, update articles of incorporation or bylaws, register changes with the Commercial Registry, and coordinate with banks and authorities.
  4. Coordinating service providers and authorities
We act as the single point of contact for accounting, tax, payroll, legal, banking, and regulatory matters.
  5. Monitor obligations
We maintain a calendar of corporate, tax, labor, and regulatory obligations, with documented evidence of compliance.
  6. Report to headquarters
We translate the Brazilian operation into structured periodic reports, based on which headquarters and shareholders can make decisions.
